Terms of Service

1. Agreement to Terms

By creating an account and using RepDash ("Service", "Platform", "we", "us", "our"), you ("User", "you", "your") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately stop using the Service and cancel your account.

These Terms constitute a legally binding agreement between you and RepDash. We reserve the right to modify these Terms at any time, and continued use of the Service after changes constitutes acceptance of modified Terms.

2. Service Description

RepDash provides market intelligence and analytics software for eBay and Vinted resellers. Our Service includes:

• Access to aggregated public eBay and Vinted sold listing data across 40+ brands
• eBay and Vinted seller tracking and revenue analytics
• Trending item detection and velocity tracking
• Real-time Telegram alerts and custom notifications
• Custom private brand tracking requests (subject to plan and fees)
• Profit calculator and reselling tools

2.1 Data Source and Accuracy

CRITICAL DISCLAIMER: All data provided by RepDash is scraped, aggregated, and analyzed from publicly available eBay and Vinted listings. RepDash does not create, verify, or guarantee the accuracy of this data. We are a data aggregation tool only.

You acknowledge and agree that:

• Data is provided "AS-IS" without any warranties of accuracy, completeness, or reliability
• eBay and Vinted data may change, become outdated, or contain errors at any time
• RepDash is not affiliated with, endorsed by, or partnered with eBay or Vinted
• We make no representations about the suitability of our data for any business purpose
• You are solely responsible for verifying all data independently before making any business decisions

3. Subscription Plans and Billing

3.1 Available Plans

RepDash offers two subscription tiers:

• Pro Plan: $39/month for the first month (promotional rate), then $49/month. Includes eBay and Vinted dashboards, seller tracking, trending items, Telegram alerts, and custom brand requests at $10 per brand.
• OG Plan: $149/month for the first month (promotional rate), then $199/month. Includes everything in Pro, plus unlimited custom brand requests at no additional cost, and priority support.

3.2 First-Month Promotional Pricing

New subscribers receive a discounted first-month rate. After the first month, your subscription automatically renews at the standard monthly rate for your plan.

3.3 Automatic Renewal and Billing

AUTO-RENEWAL AGREEMENT: By subscribing to RepDash, you explicitly authorize us to automatically charge your payment method on file:

• First month: You will be charged the promotional rate (Pro: $39, OG: $149)
• Every month thereafter: Your subscription will automatically renew at the standard rate (Pro: $49/month, OG: $199/month) unless you cancel before the renewal date
• Subscription fees may change with 30 days advance notice
• Failed payments may result in immediate suspension of your account
• You are responsible for keeping your payment information current

3.4 Custom Brand Unlock Purchases

ONE-TIME BRAND FEES: In addition to monthly subscription fees, Pro-tier users may purchase custom brand tracking at $10 per brand. These are one-time, non-refundable purchases processed through Stripe. By completing a brand unlock purchase:

• You authorize a one-time charge of $10.00 USD to your payment method
• The brand data will be scraped and made available within your private dashboard
• Brand unlock purchases are final and non-refundable, even if the scrape returns fewer results than expected
• Brand data is private to your account only
• OG-tier users receive unlimited brand requests at no additional cost as part of their subscription

3.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at support@rep-dash.com.

Cancellation Policy:

• Cancellations must be made at least 24 hours before your next billing date to avoid being charged
• Cancellations take effect at the end of your current billing period
• You will retain access to the Service until the end of your current billing period
• No refunds or credits will be issued for partial months or unused time
• Previously purchased brand unlocks remain accessible until your subscription ends
• Cancelled accounts and associated data may be deleted after 30 days

4. No Refund Policy

STRICTLY NO REFUNDS: By using RepDash and accessing any features, data, or tools, you forfeit any right to a refund. This is a strict no-refund policy.

4.1 No Refunds After Access

Once you have logged into the platform and accessed any data, features, or analytics, you are NOT eligible for any refund whatsoever, including:

• Monthly subscription fees (first-month promotional or standard rate)
• One-time brand unlock purchases ($10 per brand)
• Accidental purchases or unintended subscriptions
• Dissatisfaction with data accuracy, completeness, or features
• Forgetting to cancel before renewal
• Technical issues or service interruptions

4.2 Chargeback Protection

ANTI-CHARGEBACK CLAUSE: By agreeing to these Terms, you acknowledge that:

• You will NOT initiate chargebacks or payment disputes for services already rendered
• Initiating a chargeback constitutes breach of this agreement and may result in legal action
• If you have accessed the Service, you have received the product you paid for
• Chargebacks filed in bad faith will result in permanent account termination and potential legal action to recover costs

4.3 Exceptions (Extremely Limited)

The ONLY exceptions to our no-refund policy are:

• Duplicate charges due to technical error (we will refund the duplicate only)
• Billing errors on our part (we will refund the incorrect amount only)
• You are charged after cancelling with 24+ hours notice (we will refund that charge only)

All refund requests must be submitted within 14 days of the charge and include proof of the error.

5. Account Registration and Security

5.1 Eligibility

To use RepDash, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Have a valid payment method

5.2 One Account Per Person

ABUSE PREVENTION: You are permitted ONE account per person. We track accounts by:

• Email address
• Payment method (credit card, PayPal, etc.)
• IP address
• Device fingerprints
• Other technical identifiers

Creating multiple accounts to abuse promotional pricing is strictly prohibited and will result in:

• Immediate termination of all accounts
• No refunds for any charges
• Permanent ban from the platform
• Potential legal action for fraud

5.3 Account Sharing Prohibited

Your RepDash account is for your individual use only. You may NOT:

• Share your login credentials with others
• Allow others to access your account
• Create accounts on behalf of others
• Sell, rent, or transfer your account

Violation will result in immediate account termination without refund.

6. Acceptable Use Policy

You agree to use RepDash only for lawful purposes and in compliance with these Terms. You agree NOT to:

• Use the Service for any illegal activity
• Violate any local, state, national, or international law
• Attempt to reverse engineer, decompile, or access our source code
• Use automated systems (bots, scrapers) to extract data beyond normal usage
• Resell, redistribute, or sublicense our data or Service
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Upload viruses, malware, or harmful code
• Harass, abuse, or harm other users
• Violate eBay's or Vinted's Terms of Service or policies

7. Intellectual Property

All software, code, designs, logos, trademarks, and other content on RepDash are owned by RepDash or our licensors and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal commercial purposes only. This license does not include:

• The right to copy, modify, or distribute our software
• The right to create derivative works
• The right to reverse engineer our systems
• Any ownership rights in the Service or data

8. Private Brand Data

When you request a custom brand search (either via $10 purchase or OG plan inclusion):

• The resulting data is private to your account and not visible to other users
• RepDash may reuse scraped data across multiple users who request the same brand to optimize performance
• Brand data availability depends on publicly accessible listing data; we do not guarantee a minimum number of results
• Scraping may take 5-30 minutes depending on brand size and eBay availability
• If eBay blocks or limits scraping for a specific brand, we will notify you but no refund is issued for the $10 fee

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

RepDash explicitly disclaims all warranties, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of data
• Uninterrupted or error-free service
• Security of data transmission

10. Limitation of Liability

MAXIMUM LIABILITY CAP: To the fullest extent permitted by law, RepDash's total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

NO LIABILITY FOR BUSINESS LOSSES: RepDash shall NOT be liable for:

• Any business losses, including lost profits, revenue, data, or opportunities
• Losses from business decisions made based on our data
• Failed eBay or Vinted transactions or sales
• Inventory purchases based on our analytics
• Indirect, incidental, special, consequential, or punitive damages
• Damages resulting from unauthorized access to your account
• Losses from service interruptions or data errors

11. Indemnification

You agree to indemnify, defend, and hold harmless RepDash, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your business activities or decisions based on our data
• Any content you submit to the platform

12. Service Modifications and Termination

12.1 Our Right to Modify

We reserve the right to:

• Modify, suspend, or discontinue any feature at any time without notice
• Change pricing with 30 days advance notice
• Update these Terms at our discretion
• Improve or alter the Service as we see fit

12.2 Account Termination

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• Your payment fails
• We detect fraudulent activity
• You create multiple accounts
• You abuse the Service or engage in excessive usage
• We are required to do so by law

Upon termination, you will lose access immediately and no refunds will be issued for subscription fees or brand unlock purchases.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at support@rep-dash.com with a detailed description of the dispute.

13.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration rather than in court, except for claims that can be brought in small claims court.

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) rules. The arbitrator's decision will be final and binding.

13.3 Class Action Waiver

YOU AGREE TO BRING CLAIMS AGAINST REPDASH ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Oregon, without regard to conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and RepDash regarding the Service.
